What This Business Will Demand of You

Before you read another word, understand what you are signing up for.

You will work 60+ hours a week. For years.

This is not a side project. This is not a "passive income" business. You will be the salesperson, the compliance officer, the operations manager, the customer support, and the founder — all at once — for the first two years. If you are looking for work-life balance, stop reading.

You will earn nothing — or nearly nothing — for 2+ years.

The founder's draw in Year 1 is below-market. You are living on savings. Your family must understand this. If you need the business to pay your rent from month one, you cannot do this.

You will personally ask traders for money. Face to face.

Your first 50–200 depositors will not come from Google Ads. They will come from you walking into shops, sitting across a desk from a Gujarati or Marwari trader, and convincing them to deposit ₹45,000–₹7,20,000 with a startup they have never heard of. If you cannot do this, nothing else matters.

The deposit-token architecture has been designed to avoid RBI's PPI classification — but it has never been tested in court. You are operating without perfect legal clarity. The RBI could issue a circular tomorrow that changes everything. You must be comfortable with this ambiguity.

Separate from business capital. Your rent, food, children's school fees, EMIs — all covered for 24 months without touching the business account. If you cannot do this, do not bootstrap.

Hard truth: If you lose ₹25L on this business, will it destroy your life? If the answer is yes — do not start. Every business has a chance of failing. You must be able to survive failure.

You do not need to be an expert in everything. But you must either know these domains or have the humility and speed to learn them. There is no substitute.

FEMA — Foreign Exchange Management Act

Every SWIFT payment to a Hong Kong supplier is a FEMA event. You must understand what documentation is required, what declarations must be filed, and what constitutes a violation. Your CA handles the filings — but YOU are accountable. A FEMA notice does not go to your CA. It goes to you.

Why it matters: One wrong SWIFT declaration = account freeze + penalty + personal liability.

RBI — PPI & Nodal Account Guidelines

The entire deposit-token architecture lives or dies on RBI's classification. You must understand what constitutes a Prepaid Payment Instrument, what a nodal account is, and why the Day 171 refund cycle avoids GST advance liability. You must be able to explain this to a bank manager and a regulator.

Why it matters: One wrong product decision = operating an unlicensed wallet = business shutdown.

GST — Input Tax Credit, RCM on Imports, Advance Rules

Three separate GST treatments apply to this business: subscriptions (B2B service — tax invoice), embedded charges (buyer invoice at delivery), and imports (customs IGST). The Day 171 refund rule specifically avoids the 180-day GST advance trigger. Your CA files the returns — but YOU must understand the triggers.

Why it matters: GST on deposits would be a 18% cost that the model cannot absorb.

Customs, Freight & Import Logistics

HS code classification. Incoterms (FOB, CIF, EXW). Bill of Lading. Container freight. Customs duty calculation. IGST on imports. You do not execute these — partners do. But you negotiate with them. If you do not understand what they are charging you for, you will be exploited.

Why it matters: A 5% error in landed cost estimation = buyer trust destroyed.

Business Skills

What You Must Be Able to Do

Knowledge is passive. Skills are active. These are the things you must actually be able to execute — not just understand.

B2B Field Sales to SME Traders

You must be able to walk into a wholesale market, find a trader, explain ReximTrade in 5 minutes in their language, and ask them to deposit money. This is not email marketing. This is not digital ads. This is face-to-face trust building with people who have been burned by middlemen for 20 years.

You will personally close the first 50–200 depositors. Not a salesperson. You.

Partner Negotiation & Management

You will manage 6+ outsourced partners — customs broker, freight forwarder, HK liaison, warehouse partner, CA firm, legal counsel. Each relationship must be negotiated on per-transaction pricing with performance SLAs. You do not employ them. You must trust them. Choose wrong, and a shipment fails.

Your operating system is not employees — it is partner contracts.

AI-Native Platform Product Management

The platform is built. But you must understand what it does, how AI agents operate, how to spec improvements, and how to evaluate LLM APIs and automation tools. You do not need to code — but you must be able to direct technical work effectively.

Technology is your leverage. If you cannot wield it, you lose the cost advantage.

Crisis Management Under Pressure

A Day 171 refund batch fails. A bank freezes your nodal account for review. A supplier ships defective goods to 15 pooled buyers who all call you on the same day. Regulators send a notice. These will happen. Not might — will. Can you handle all of them without the business collapsing?

Your job on the worst days is to not make things worse.

These are non-negotiable. Skills can be learned. Character cannot be installed later.

You are holding other people's money — deposits of ₹45K to ₹7.2L from small traders who trusted you. Any misuse — real or perceived — kills the business instantly. You will be scrutinized by banks, regulators, and buyers. Your personal reputation and the business's reputation are the same thing. There is no separation.

Pools take 7–60+ days to fill. Refund cycles are 171 days. Regulatory clarity from RBI could take years. Buyer trust takes 2+ completed orders to establish. Everything in this business is slow. If you need quick wins to stay motivated, you will quit before the flywheel starts spinning.

Detail Obsession

One wrong digit in a SWIFT instruction = ₹5 lakhs stuck. One missed Day 170 email = an angry buyer who tells 20 other buyers. One wrong GST SAC code = a notice from the department. One decimal error in landed cost estimation = 50 buyers questioning your competence. This is not a "move fast and break things" business.

Buyers will scream at you when pools don't fill. Suppliers will ghost you. The bank manager will freeze your nodal account "for review." Regulators may send notices. None of this is personal — but it will feel personal. Can you absorb it, stay calm, and solve the problem without reacting emotionally? If not, this business will break you.

Year 1 costs are ₹69.5L. Every rupee spent on a fancy office, a PR agency, an unnecessary subscription, or "growth hacking" is a rupee you cannot refund to a buyer. Frugality is not a temporary phase — it is the operating philosophy of this business. If your instinct when you have money is to spend it, you will burn through your runway before revenue catches up.

You must be able to look a stranger in the eye and ask them to deposit ₹90,000 as a security deposit with your startup. This is not marketing. This is not branding. This is the primal act of selling — one human convincing another human to trust them with their money. If you cannot do this, find a co-founder who can. The business does not start without it.

Risk & Uncertainty

What You Are Signing Up For

Every business has risk. This one has specific, identifiable risks. You must stare at each one and decide if you can live with it.

You Could Lose ₹25L

The business could fail. The RBI could reclassify tokens as a PPI. A supplier could default and take your reputation with them. A regulatory change could invalidate the model. You could simply not acquire enough buyers. If you lose your ₹25L — what happens to your life? Your family? Your future? Answer this before you start.

Regulatory Uncertainty Is Permanent

The deposit-token architecture operates in a grey zone. The RBI has not explicitly approved it. It has not explicitly banned it. You will operate without perfect legal clarity — possibly for years. If you need certainty before you act, this business will paralyze you. You must be comfortable building in the fog.

It Takes Longer Than You Think

Acquiring the first 50 depositors will take months. Filling the first pool will take weeks. The first delivery cycle will take 60–120 days. The first Day 171 refund will feel like an eternity. Everything compounds — but slowly. If you are in a hurry, you will make costly mistakes. Patience is not a virtue here. It is a requirement.

Deal-Breakers

If Any of These Apply — Do Not Start

These are not "maybe reconsider" items. These are hard stops. If even one applies to you, ReximTrade is not your business to build.

Prior Regulatory Action

Any FEMA violation notice. Any RBI warning. Any GST department investigation. Any customs penalty. Even if you "won" the case. Banks and regulators will find it. It will be used against the business.

Personal Insolvency or Bankruptcy

You cannot be a trustee of buyer deposits if you have a history of default. The bank's nodal account approval process will surface this.

CIBIL Score Below 650

You will not get a nodal account approved. The bank's compliance team checks this. No nodal account = no deposit collection = no business.

Criminal Record Involving Financial Fraud

Obvious. Background checks by banks, KYC/AML screening, and partner due diligence will surface this. Non-negotiable.

Cannot Commit Full-Time

This is not a side project. Not a weekend hustle. Not a "I'll hire someone to run it" business. The founder must be full-time for at least 3 years. If you have another job, another business, or another commitment — pick one.
